Terms of Use

Terms governing the CargoLattice public website, freight marketplace, and connected logistics platform.

CargoLattice Terms of Use

Effective date: November 11, 2026

These Terms of Use ("Terms") govern access to and use of the CargoLattice public website, platform, and related applications, tools, and services that refer to these Terms (collectively, the "Platform"). The Platform is operated by [REGISTERED LEGAL ENTITY NAME], doing business as CargoLattice ("CargoLattice," "we," "us," or "our"). "You" means the individual using the Platform and, where that individual acts on behalf of an organization, that organization.

By accepting these Terms, creating an account, submitting a shipment request after being presented with these Terms, or otherwise using the Platform where these Terms have been conspicuously presented for acceptance, you agree to them. If you act for an organization, you represent that you have authority to bind it. If you do not agree, do not register, submit requests, or use restricted Platform services. Our Privacy Policy explains how we handle personal information; acceptance of these Terms does not replace any separate consent required by law.

1. Platform Scope and Participants

CargoLattice provides a digital environment for freight and logistics participants to publish opportunities, discover potential business partners, exchange information, and manage supported workflows. Depending on the features available to your account, these activities may include shipment and capacity postings, requests for quotes, bids, messaging, dispatch coordination, shipment status updates, documentation, warehouse listings, and route visualization.

Participants may include shippers, cargo owners, carriers, brokers, freight forwarders, dispatchers, third-party logistics providers, warehouse operators, and their authorized personnel. A participant may perform different roles in different transactions but must disclose its actual role and hold any authority required for that role. A feature described in these Terms is available only where enabled; these Terms do not promise access to every feature or future product.

2. CargoLattice's Role

CargoLattice supplies marketplace software and communication tools. Under these Terms, CargoLattice does not undertake to transport, store, insure, or take possession of cargo; act as a motor carrier, transportation broker, freight forwarder, warehouse operator, or customs broker; or negotiate and enter into transportation or storage contracts for participants. Any separately offered regulated service would require an express agreement identifying the responsible legal entity, its role, and the applicable service terms.

Participants independently select their counterparties and agree on services, rates, schedules, and contractual obligations. Displaying an opportunity, suggesting a potential match, transmitting a quote, or generating a document does not by itself make CargoLattice a party to the resulting agreement. These descriptions do not override duties imposed by law based on the services actually performed.

CargoLattice does not guarantee that a shipment will receive a quote, that capacity will be available, that any participant will complete a transaction, or that a counterparty will pay or perform. Account access, directory placement, verification labels, and ratings are not endorsements or guarantees of safety, financial condition, insurance coverage, or regulatory compliance.

3. Eligibility, Accounts, and Security

You must be at least 18 years old, have legal capacity to contract, and be authorized to conduct the activities you undertake through the Platform. Provide accurate registration information and keep your business identity, contact details, account roles, and billing information current.

An account owner controls the users it authorizes and is responsible for managing their access, including removing access when employment or authorization ends. Each user must use credentials assigned to that user. Do not share passwords, transfer accounts, impersonate another organization, or permit unauthorized access. Use reasonable security measures and any authentication controls required for your account.

Notify CargoLattice promptly through its published support channel if you suspect compromised credentials, unauthorized access, or fraudulent account activity. Cooperate with reasonable containment measures. You are responsible for your authorized users' conduct and for loss to the extent caused by your breach of these Terms, negligence, or misconduct; this provision does not transfer responsibility for CargoLattice's own conduct to you.

4. Business Information and Verification

We may request identity, business registration, operating authority, insurance, bonding, tax, or other information relevant to your participation. Where lawful, we may use service providers or public records to assist with checks. You authorize checks reasonably necessary for the services you request, subject to applicable notices, consents, and the Privacy Policy.

We may restrict access if information is incomplete, inconsistent, expired, or suspected to be fraudulent. A completed check reflects only the information and scope reviewed at that time. Participants remain responsible for independently confirming counterparties' identities, authority, insurance, contact details, and suitability before releasing cargo, sharing sensitive information, or making payment.

5. Shipment Requests, Listings, Quotes, and Bids

Post only genuine opportunities that you are authorized to offer. Descriptions must accurately state material requirements, including applicable cargo type, quantity, dimensions, weight, handling needs, equipment, locations, pickup and delivery windows, temperature controls, access restrictions, and special permits. Identify hazardous materials, high-value goods, or other restricted cargo before requesting or accepting service.

Keep listings current and promptly close or update opportunities that are booked, withdrawn, materially changed, or no longer available. Do not publish fabricated capacity, misleading rates, duplicate solicitations intended to manipulate results, or another party's shipment without authorization.

A public shipment submission, automated acknowledgment, route display, or request for a quote does not itself confirm a booking or acceptance by a service provider. Whether a quote, bid, or acceptance creates a binding agreement depends on the offer, the parties' communications, the applicable workflow, and governing law. Review the complete terms before accepting any offer.

6. Shipper and Cargo Owner Responsibilities

Shippers and persons tendering cargo must have authority to arrange the shipment; describe the cargo accurately; provide appropriate packaging, labeling, documentation, and access instructions; and make the cargo available as agreed. They must disclose material risks, declared value requirements, and special handling conditions before service is accepted.

Shippers are responsible for selecting suitable service providers, confirming required coverage, coordinating authorized pickup and delivery contacts, and paying charges for which they are contractually responsible. Loading, unloading, securement, and inspection duties must be allocated in the applicable agreement without displacing duties imposed by law. Verify the arriving carrier, driver, and pickup authorization before releasing cargo.

7. Carrier Responsibilities

Carriers must maintain the operating authority, registrations, permits, insurance, equipment, and qualified personnel required for the services they perform. This includes applicable Federal Motor Carrier Safety Administration requirements for United States operations and equivalent requirements in other jurisdictions.

Carriers must evaluate each shipment's suitability, perform accepted services with appropriate care, comply with safety and cargo-securement requirements, and communicate material delays, exceptions, loss, damage, or security concerns promptly. They must provide accurate shipment status information and required pickup, delivery, condition, and invoicing records.

Do not falsely report pickup or delivery, conceal cargo damage, use another carrier's identity or authority, or transfer a load to an undisclosed provider. Subcontracting or re-tendering requires any legally necessary authority and the contractual permissions applicable to the shipment. Carriers retain responsibility for their employees, agents, equipment, and performance as provided by law and their contracts.

8. Brokers, Dispatchers, Forwarders, and Logistics Providers

Intermediaries must accurately disclose the capacity in which they act and maintain all required authority, licenses, bonds, insurance, and records. A dispatcher must have authority to act for its principal and must not perform activities requiring brokerage or other regulated authority without holding that authority.

Unauthorized re-brokering, identity substitution, undisclosed load transfers, deceptive rate confirmations, and misdirection of freight payments are prohibited. Participants must identify the actual contracting parties and the providers performing the service, verify required authority, and obtain necessary permissions. Using CargoLattice does not satisfy or transfer a participant's regulatory obligations.

9. Warehouse and Facility Participation

Warehouse and facility operators must accurately describe their locations, capacity, operating hours, equipment, access limitations, security arrangements, and services offered. Operators must maintain licenses, insurance, and operational standards required for their activities, including requirements applicable to hazardous, food-grade, temperature-controlled, bonded, or other specialized storage.

The relevant participants must separately agree on receiving, storage, inventory, handling, cross-docking, release procedures, charges, risk allocation, and claims. A listing or availability indication does not reserve space or guarantee acceptance of goods. CargoLattice does not take custody of stored goods or issue warehouse receipts as warehouse operator under these Terms.

10. Transaction Agreements, Charges, and Cargo Claims

Transportation, brokerage, forwarding, and warehousing agreements are between the identified participants. Before work begins, those parties should document the service scope, rate, accessorial charges, payment responsibility, cargo requirements, liability terms, insurance requirements, cancellation terms, and applicable claims procedures.

Invoices, rate confirmations, bills of lading, proof of delivery, warehouse receipts, photographs, and similar records must accurately reflect the transaction. A Platform status or uploaded document does not conclusively establish payment, cargo condition, acceptance, or release of a claim.

Participants must pay undisputed amounts when due and address disputed charges and cargo claims through their contracts and applicable law. These Terms do not impose a requirement to pay freight charges before asserting a cargo claim, waive a lawful defense or setoff, or alter mandatory cargo-liability rules or claim deadlines. Reporting a dispute to CargoLattice does not file a legal claim against a carrier, warehouse, insurer, or other participant, and does not extend any deadline.

We may request records or assist with communications, but do not undertake to adjudicate participant disputes, collect freight debts, provide cargo insurance, or guarantee a recovery.

11. Maps, Route Simulations, Estimates, and Automated Tools

Maps, route simulations, mileage calculations, transit estimates, pricing indicators, and other planning outputs are informational. A simulated route or moving map marker is not evidence that a shipment exists, has been dispatched, or is being tracked live. A route is not a confirmed service commitment or a guarantee that a commercial vehicle may lawfully or safely use it.

Carriers and drivers must independently verify vehicle restrictions, bridge clearances, weight limits, permits, road conditions, weather, operating-hour limits, and other requirements. Any location or status feed may be delayed, incomplete, or unavailable.

Where artificial intelligence or other automated tools are offered, their outputs may contain errors or omissions. Review outputs before using them in quotes, dispatch instructions, documents, or business decisions. These tools do not replace professional judgment, inspections, regulatory checks, or the parties' responsibility to confirm transaction details.

12. Electronic Communications, Signatures, and Records

You agree to receive routine account and transaction communications through the contact details you provide and supported Platform channels. Keep those details current. Marketing messages, automated calls, and text messages remain subject to any separate consent and opt-out requirements that apply.

Where supported and knowingly used, electronic acceptance and signatures are intended to record your agreement with the same effect as other legally valid methods, subject to applicable law. Sign or accept only for a person or organization you are authorized to bind. A delivery notification or message read receipt does not itself establish contractual acceptance.

Retain copies of agreements and records needed for your business and legal obligations. Where law requires additional consumer disclosures, affirmative consent, paper-copy options, or withdrawal procedures for electronic records, those requirements must be satisfied separately; these Terms do not substitute for them.

13. Platform Fees, Subscriptions, and Cancellation

Platform subscription fees, usage charges, optional services, billing intervals, and taxes will be disclosed in the applicable order, checkout, or plan terms. Do not assume a feature is free because it is visible. Freight, brokerage, storage, and other participant-to-participant charges are separate from CargoLattice's Platform fees unless expressly identified otherwise.

A subscription renews automatically only if recurring billing terms are clearly disclosed and you authorize them. Where authorized, renewal continues at the disclosed interval until canceled. Cancel through the cancellation method identified at enrollment or through the published CargoLattice support channel. Unless the accepted plan terms or law provide otherwise, cancellation stops future renewal and access continues through the paid subscription period.

Fees already earned are nonrefundable except where the accepted plan terms or applicable law provide otherwise. Trials convert to paid service only under terms disclosed and accepted before conversion. Any trial period, promotion, or discount is governed by its stated conditions.

We will provide advance notice of fee changes affecting a future renewal and an opportunity to cancel before the change takes effect, including any notice required by law. Notify us promptly of billing errors; this request does not shorten statutory dispute rights. Unpaid, undisputed charges may result in restricted access after any required notice.

14. Payment Services and Fraud Prevention

If payment functionality is available, the checkout and applicable payment-provider terms identify who processes the payment, the recipient, fees, settlement conditions, and any authorization you grant. An invoice or payment-status field is not a guarantee that funds have cleared. Confirm independently any request to change bank details or redirect payment.

Unless a separate agreement expressly provides otherwise, CargoLattice does not offer escrow, extend credit, insure payments, or guarantee a participant's payment obligation. You may not submit unauthorized payment instructions, divert another party's funds, or use payment features unlawfully. Nothing in this section excuses responsibilities CargoLattice actually assumes in a payment transaction.

15. Content, Documents, and Data Rights

You retain your rights in information, documents, images, logos, messages, and other materials you submit ("User Content"). You represent that you have the rights and permissions needed to submit that content and allow its use for the relevant Platform services. Do not upload confidential information or personal data unless you are authorized and the disclosure is necessary for the intended purpose.

You grant CargoLattice a nonexclusive, worldwide, royalty-free license to host, copy, process, transmit, format, and display User Content as reasonably necessary to operate, secure, support, and provide the Platform, including disclosure to the recipients or audience selected through your actions and settings. We may permit service providers to perform those activities on our behalf under appropriate obligations.

This license does not give CargoLattice unrestricted rights to sell confidential shipment records, publish private communications, or use identifiable User Content to train general-purpose AI models. Any materially different use requires an appropriate lawful basis and the additional disclosure or authorization required by law. We may use lawfully created aggregated or de-identified information for analytics and service improvement where individuals and confidential participant information cannot reasonably be identified, and will not attempt to re-identify it.

The license lasts only as needed for the stated purposes, including lawful retention, security, backups, and dispute resolution. You grant us permission to use voluntary product feedback to improve our services without compensation, excluding your confidential information. Displaying your name or logo in your requested profile is permitted; using it as a separate advertising endorsement requires your permission.

16. Privacy, Confidentiality, and Record Retention

Personal information is handled as described in the CargoLattice Privacy Policy and any applicable data-processing agreement. Public listings and information you choose to make public may be viewed or copied by others. Share pickup codes, precise cargo locations, driver details, identity documents, and financial information only through appropriate channels with authorized recipients.

Participants must protect nonpublic information received through the Platform, use it only for authorized business purposes, and comply with applicable privacy and data-protection requirements. Do not access another organization's nonpublic records without permission. Any location tracking you initiate must have the permissions and notices required for the individuals concerned.

We may retain records as described in the Privacy Policy and as reasonably necessary for legal obligations, security, accounting, and disputes. Closing an account does not necessarily delete counterparties' transaction records or information lawfully retained elsewhere. Maintain your own required records; the Platform is not a promise of permanent archival storage.

17. Acceptable Use

You must use the Platform lawfully and professionally. You may not:

  • Engage in fraud, theft, impersonation, harassment, discrimination prohibited by law, or deceptive business practices.
  • Offer unlawful cargo or services, conceal restricted goods, or evade applicable sanctions, export controls, customs rules, or transportation requirements.
  • Submit fabricated credentials, insurance documents, reviews, shipment events, signatures, or proof of delivery.
  • Access accounts or data without authorization, bypass access controls, introduce malware, disrupt service, or test security without permission.
  • Scrape nonpublic information, harvest contacts, send spam, or use automated tools outside authorized interfaces and access permissions.
  • Infringe intellectual property, misuse confidential information, or manipulate listings, bids, ratings, or verification processes.

Automation and integrations expressly permitted by CargoLattice remain subject to their documented permissions and limits.

18. Platform Intellectual Property

CargoLattice and its licensors retain their rights in the Platform's software, design, branding, and other proprietary materials, excluding User Content and third-party rights. Subject to these Terms and any applicable fees, we grant you a limited, nonexclusive, nontransferable right to use the Platform for its intended purposes.

You may not resell Platform access, copy proprietary software, remove ownership notices, or reverse engineer the Platform except where applicable law permits despite this restriction. These restrictions do not prevent authorized exports of your own records or use of approved integrations. No right to use CargoLattice branding as an endorsement is granted.

19. Ratings, Reviews, and Moderation

Where reviews are available, submit them only from genuine relevant experience. Distinguish facts from opinions and do not submit knowingly false statements, confidential information, or manipulated reviews. Do not purchase favorable ratings, condition payment on a review change, or threaten retaliation for a legitimate complaint.

We may review, restrict, or remove content that violates these Terms or applicable law, and may seek supporting information. Moderation is not a finding of legal liability. We do not promise to identify every inaccurate listing or resolve every disagreement about a review.

20. Third-Party Services

The Platform may use or link to third-party mapping, verification, communications, payment, or other services. Their availability, data, and terms may affect the corresponding feature. Review applicable third-party terms before using an optional integration. A link or integration is not an endorsement, and third-party information may be incomplete or outdated. This section does not remove obligations we have for our own selection or use of service providers under applicable law.

21. Changes, Suspension, and Account Closure

We may update the Platform to improve services, address security, or meet legal requirements. We may suspend or restrict access for material breaches, suspected fraud, security threats, unlawful activity, unpaid undisputed fees, or legal necessity. Where reasonably practicable and appropriate, we will provide notice and an opportunity to resolve the issue; urgent action may be taken without prior notice.

You may request account closure through the published support channel. Subscription cancellation, outstanding charges, and records are handled under these Terms and the applicable plan terms. Closing an account does not cancel a shipment, terminate a separate participant contract, or discharge existing obligations.

Where legally and technically feasible, we will provide a reasonable opportunity to retrieve your records before permanent closure, subject to security restrictions and lawful retention. If we permanently discontinue a prepaid service or terminate it for convenience, we will refund the unused prepaid portion unless an agreed lawful alternative applies.

22. Disclaimers and Limitation of Liability

To the extent permitted by law, the Platform is provided "as is" and "as available." Except for express commitments in a separate agreement, CargoLattice disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted availability, error-free data, a particular business outcome, or a participant's performance. Templates, estimates, and informational materials are not legal, tax, insurance, or professional advice.

To the extent permitted by law, CargoLattice and its officers, employees, and service providers will not be liable for indirect, consequential, special, exemplary, or punitive damages arising from the Platform or these Terms, including consequential loss of profits, business opportunities, or use.

Subject to the exceptions below, CargoLattice's aggregate liability arising out of or relating to the Platform and these Terms will not exceed the greater of (a) the Platform fees you paid to CargoLattice during the 12 months preceding the event giving rise to the claim or (b) US$100. Freight or storage charges paid to participants are not Platform fees.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or remedy that cannot lawfully be excluded or limited. They do not limit obligations we expressly assume in a separate agreement that provides otherwise. Mandatory consumer and other nonwaivable rights remain unaffected.

23. Indemnification

To the extent permitted by law, you will indemnify CargoLattice and its officers and employees against third-party claims, reasonable legal costs, and resulting losses to the extent caused by your unlawful conduct, material breach of these Terms, infringement through User Content, or negligent or wrongful performance of services arranged with other participants. This obligation does not apply to the extent a claim results from CargoLattice's own breach, negligence, or misconduct.

We will provide reasonably prompt notice of a covered claim and reasonable cooperation. You may control the defense using suitable counsel, subject to our right to participate at our own expense. You may not settle a claim in a way that admits fault by CargoLattice or imposes obligations on it without its prior written consent, which will not be unreasonably withheld.

24. Governing Law and Disputes

Subject to mandatory applicable law, these Terms are governed by the laws of the State of Florida, without applying conflict-of-laws rules that would require another jurisdiction's law. Courts located in Miami-Dade County, Florida, will have jurisdiction over disputes between you and CargoLattice, except where applicable law requires or permits another forum.

We encourage you to contact us first with a description of a dispute and the requested resolution. Informal discussions do not prevent urgent relief, suspend limitation periods, or require you to give up legal rights. These Terms do not impose mandatory arbitration or a class-action waiver. Disputes between participants remain subject to their own agreements and applicable law.

Use of the Platform across borders does not authorize services in a jurisdiction where they are restricted. Each participant must comply with the laws applicable to its activities, including transportation, trade, customs, privacy, and consumer-protection requirements.

25. Amendments and General Provisions

We may revise these Terms and will identify the effective date of the revised version. For material changes affecting registered users, we will provide reasonable advance notice through the Platform or the account contact details, except where a legal or security requirement necessitates a different timeframe. Changes apply prospectively. Where affirmative acceptance is required, we will request it; otherwise, continued use after appropriate notice and the effective date constitutes acceptance to the extent permitted by law.

These Terms and any expressly incorporated service terms govern your Platform use. A separately signed agreement with CargoLattice controls over conflicting provisions for the services it expressly covers. Neither these Terms nor a Platform policy overrides a separate participant agreement except where the parties validly agree or law requires.

The parties act independently; these Terms do not create employment, partnership, joint venture, or agency. You may not transfer your account or contractual rights without our written consent. CargoLattice may assign these Terms in connection with a merger, reorganization, or transfer of the relevant business, subject to applicable law and without reducing accrued rights.

Neither party is responsible for delay caused by events beyond its reasonable control, provided it takes reasonable mitigation steps; this does not excuse accrued payment obligations or required refunds. If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. Provisions concerning accrued payments, intellectual property, confidentiality, lawful retention, liability, indemnification, and dispute resolution survive termination to the extent necessary to give them effect.

26. Contact and Rights Complaints

Questions about these Terms, legal notices, and complaints concerning misuse or infringement may be directed to:

For a rights complaint, identify the affected work or right, the relevant Platform location or record, your contact details, and the basis for your authority to submit the complaint. We may request supporting information and respond as required by applicable law. Any formal statutory notice process will be identified separately where applicable.
